Terms of Service

These Terms govern your use of the Pyraxis desktop application and related services ("Pyraxis"). By installing or using Pyraxis you agree to these Terms. If you do not agree, do not use Pyraxis.

1. Licence

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use Pyraxis for your internal business or personal use. A licence key may be issued to you and may be bound to a specific device; each key is for use as described at the point of sale (e.g. per user or per company). You may not share, resell, sublicense, or circumvent the licensing of Pyraxis.

2. On-device software

Pyraxis is local-first: its AI models and your data run and are stored on your own device. We do not operate servers that receive your content. You are responsible for your device, its security, backups, and for the data you process with Pyraxis.

3. Connected third-party accounts

Pyraxis lets you connect third-party services (for example Google Gmail and Google Calendar). Your use of those services through Pyraxis is also governed by those providers' own terms and policies. You are responsible for having the rights to connect and use those accounts. We access such data only to provide the features you request, as described in our Privacy Policy.

4. Acceptable use

• Do not use Pyraxis for any unlawful purpose or to violate the rights of others.
• Do not reverse engineer, decompile, or attempt to extract source code, keys, or credentials, except to the extent this restriction is prohibited by applicable law.
• Do not use Pyraxis to send spam or to access data you are not authorised to access.

5. Intellectual property

Pyraxis, its software, branding, and content are owned by us or our licensors and are protected by law. These Terms grant you a licence to use Pyraxis, not ownership of it. Content you create with Pyraxis remains yours.

6. Fees

Paid licences are subject to the price and term presented at purchase. Unless required by law, fees are non-refundable once a licence key has been issued and delivered.

7. Disclaimer of warranties

Pyraxis is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated output may be inaccurate; you are responsible for reviewing it before relying on or sending it.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill. Our total liability for any claim relating to Pyraxis will not exceed the amount you paid for the licence in the twelve (12) months before the claim.

9. Termination

These Terms apply while you use Pyraxis. We may suspend or terminate your licence if you breach these Terms. On termination you must stop using Pyraxis. Sections that by their nature should survive (IP, disclaimers, liability, governing law) survive termination.

10. Changes

We may update these Terms; material changes will be posted on this page with a new "last updated" date. Continued use after changes means you accept them.

11. Governing law

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, without regard to conflict-of-laws rules.
